Nicole W. Russell is Owner, Director and Trading Counsel at Trading Counsel Solutions, a firm focused on providing innovative, practical, and affordable legal advisement to energy trading clients.

Ms. Russell practiced law in-house with a variety of commodity trading market participants including a utility, a large energy trader with the largest power and gas footprint in the Northeast, an investment bank, an oil major and several large trading houses.  

Ms. Russell has a wide depth of transactional experience ranging from structured supply and trading and asset management arrangements, first lien structures, joint ventures, project and trade finance facilities to master agreement negotiation.  Ms. Russell has experience with multiple commodities including natural gas, power, crude oil, refined products, natural gas liquids, emissions credits and derivatives products.  Ms. Russell’s multi-commodity background extends to infrastructure and operational advisement including transmission, pipeline, storage, truck, and rail.    

Ms. Russell has worked extensively with renewable products including Renewable Energy Certificates (RECs) and Compliance Premiums, Renewable Identifications Numbers (RINs), Low Carbon Fuel Standard (LCFS) and AB32 credits as well as voluntary carbon credits.   Ms. Russell has advised multiple clients on structured biogas offtake agreements with RINs and LCFS components.   In addition, Ms. Russell has experience with a variety of power markets and with domestic and global natural gas transactions.  Ms. Russell has drafted template documentation and negotiated ISDAs, NAESBs, GAS EDI, EEIs, WSPP, LEAP Purchase and Sale Agreements and EFET Agreements.    Ms. Russell has participated in many industry working groups including active membership in the LEAP contract working group, the IECA Contract Provision Compendium working group, and the NAEMA refresh working group.  Historically. Ms. Russell has served on working groups for API, EEI, NAESB and ISDA.  Ms. Russell was most recently the co-chair of the IECA CLEG for the 2019-2020 term.

Ms. Russell is a graduate of Tulane University Law School, Cum Laude and is barred in New York, Georgia and Louisiana.    She is a founding member of the Women’s Network for Energy Environment and Transportation, a founding board member of the Chicago Chapter of the Women’s Energy Network and the annual co-chair of the American Conference Institute’s Women Leaders in Energy and Environmental Law Conference and serves as an Advisory Board Member of Fidelity Bank’s POWER Program and an Advisory Board Member for the Grow Dat Youth Leadership Program.  Ms. Russell is a frequent speaker at industry conferences and events.
