Summary of the By-Laws of the International Energy Credit Association.
- Article I - Name
Provides that the Association is a non-profit corporation.
- Article II - Purpose
Describes the general purpose of the Association.
- Article III - Membership
Provides for three types of membership classes: Regular Members who shall have voting rights and the right to hold office; Allied Members who shall have voting rights and have the right to serve as an Allied Director; and Honorary Lifetime Members.
- Article IV - Meetings of Members
Provides for annual and special meetings of the membership, and aspects relating to the calling and running of the meetings.
- Article V - Dues and Assessments
Provides for dues as set by the Board off Directors
- Article VI - Board of Directors
Provides for the Board of Directors to consist of twelve (12) members elected by the Regular Members, the immediate Past President, and the following Officers who shall be elected by the Board of Directors: President, First Vice President, three Vice Presidents, and Secretary-Treasurer. In addition, up to two Directors can be elected from the Allied Membership and two Past Presidents can participate as a member of the Board of Directors. The Article also provides the term of office for members of the Board of Directors, petition for election and the filling of vacancies.
- Article VII - Officers
Provides for a President, First Vice President, three (3) Vice Presidents and a Secretary-Treasurer. The roles and responsibilities of each Officer is outline within the Article.
- Article VIII - Executive Director
Provides for the appointment of an Executive Director by the Board of Directors.
- Article IX - Executive Vice President
Provides for the appointment of an Executive Vice President by the Board of Directors.
- Article X - Independent Auditor
Provides for the appointment of a qualified Auditor by the Board of Directors.
- Article XI - Committees
The Board of Directors may appoint committees of its members.
- Article XII - Operations
There shall be no compensation to any member for services to the Association.
- Article XIII - Credit Education and Interchange Groups
There shall be the following credit groups: Canadian, Commercial, Crude Oil and Refined Products, European, Gas Liquids and Electricity and Retail Credit Card.
- Article XIV - Rules
Provides for the Association to be governed by parliamentary law in accordance with provisions of Robert's Rules of Order, except as otherwise provided in these By-Laws.
- Article XV - Amendment
Provides for amendments to be approved by a two-thirds (2/3) vote of the Board of Directors.
